Suspension of trading of the Folli Follie shares

ΑΝΝOUNCEMENT
a) Registration of the decision approving the merger through absorption by “HELLENIC DUTY FREE SHOPS S.A.” of the companies “FOLLI - FOLLIE A.B.E.E.” and “ΕLMEC SPORT A.B.E.T.E.” in the Registry of ‘Societes Anonymes’,
b) Suspension of trading in the Athens Exchange of the shares of “FOLLI - FOLLIE A.B.E.E.”
The Company “FOLLI FOLLIE A.E.B.E.” (thereof “the Company”), announces that in accordance with the decision ( nr. K2-.11763/30.12.2010) of the Ministry of Economy Competitiveness and Shipping, the merger through absorption by “HELLENIC DUTY FREE SHOPS S.A.” of the companies “FOLLI - FOLLIE A.B.E.E.” and “ΕLMEC SPORT A.B.E.T.E.”, has been approved and registered in the Registry of ‘Societes Anonymes’. In addition, the decision (nr.Κ2- 11761/30.12.2010) of the Ministry of Economy Competitiveness and Shipping, by which the “Company” has been deleted from the Registry of ‘Societes Anonymes’ , has been also registered in the Registry of ‘Sosietes Anonymes’.
Further to the above, the last day for trading of the “Company’s” shares in the Athens Exchange, is 30.12.2010. As of 31.12.2010 the trading of “Company’s” shares will be suspended.
In the framework of the aforementioned merger and for the purposes of equal treatment of the shareholders, the trading of the shares of the Company “HELLENIC DUTY FREE SHOPS S.A.” will be temporarily suspended as of 31.12.2010, until new shares are registered in the Investors’ Securities Accounts.
Beneficiaries of the new shares, resulting from the merger, are those shareholders registered in the Dematererialized Securities System (DSS) records, on 4.1.2011 (Record Date) for the “Company”, and for both the “HELLENIC DUTY FREE SHOPS S.A.” and “ELMEC SPORT A.B.E.T.E.”.
The date of commencement of trading of the new shares in the Athens Exchange, resulting from the aforementioned merger, will be made public with a new announcement.
The new trading price of the “HELLENIC DUTY FREE SHOPS S.A.” shares in the Athens Exchange will be set in accordance with par. 5.3.8 of the Athens Exchange Regulation, along with the decision Nr. 26 of the Board of Directors of Athens Exchange.
It is noted that the exchange ratios for the shareholders of the merging companies are as follows:
a) Each shareholder of “FOLLI - FOLLIE Α.Β.Ε.Ε.” shall exchange one (1) share of the shares he possesses for 1,53553730 new common registered shares with voting rights, issued by “HELLENIC DUTY FREE SHOPS S.A.”.
b) Each Shareholder of “ΕLMEC SPORT A.B.E.T.E.” will exchange one (1) share he possesses for 0,06214769 new common registered shares with voting rights, issued by “HELLENIC DUTY FREE SHOPS S.A.”.
c) Each Shareholder of “HELLENIC DUTY FREE SHOPS S.A.” will exchange one (1) share he possesses for 0,43498235 new common registered shares with voting rights, issued by the “HELLENIC DUTY FREE SHOPS S.A.”.
Following the merger, the share capital of “HELLENIC DUTY FREE SHOPS S.A.” amounts to € 18.176.463,00 and is divided into 60.588.210 common registered shares with nominal value of € 0,30 each.
